TERMS & CONDITIONS: By placing an order through our online store, you agree to the following conditions.

PAYMENT:  Customers with an account with EDSI shall pay the amount of all sales drafts and all other charges in respect of which the credit has been used together with interest thereon (all or any portion of the foregoing herein called “indebtedness”) within the time period on the creditor’s invoice at the time of sale. Customers without an account with EDSI shall pay with credit card (VISA or Mastercard only) or pre-pay by business check. To apply for an account, please contact EDSI for a credit application.

INTEREST:  The Applicant shall pay interest to the creditor on the indebtedness at the annual percentage rate of 24% (2% per month) on all accounts outstanding 30 days or more.

APPLICATION OF PAYMENT:  Payments to reduce indebtedness shall be applied by the Creditor in the following order:  interest charges; service fees; previously billed purchases; current purchases.

ENTIRE BALANCE DUE:  Notwithstanding any other provision in this agreement, all indebtedness shall, at the option of the Creditor, become immediately due and payable without notice or demand and this agreement may be canceled by the Creditor without notice, in the event of:

(i)                   The death, insolvency or bankruptcy of the Applicant or failure to pay the obligation hereunder or any other obligation of the Applicant to the Creditor.

(ii)                 The institution of garnishment, attachment, execution of levy proceedings involving the Applicant or the Applicant’s property; or personal basis.

(iii)                Any breach or default of any of the terms of this agreement.  The Applicant shall be liable for all legal costs on a solicitor and client basis incurred by or on behalf of the Creditor resulting from actions to recover indebtedness.

GUARANTORS:  Where this application is made by on behalf of a limited company or partnership, the persons signing on behalf of the limited company or partnership, as the case may be, hereby warrants that each is a person duly authorized to enter into this agreement on behalf of the limited company or partnership as the case may be.  In consideration of the Creditor extending credit to the Applicant, each person signing this application/agreement jointly and severally guarantees to pay to the Creditor forthwith after demand thereof the total amount of indebtedness of the Applicant.

EQUIPMENT:  Supplied remains the name of Equipment Direct Sales, Inc. (EDSI) until such time as the debt is discharged in full.

WARRANTY:  Equipment Direct Sales, Inc. will not be responsible for any warranties administered through EDSI as an Agent for any other Company or EDSI itself until such time as the creditor has paid for all purchases relating to that warranty in full.
